Terms of Service

These Terms of Service (“Terms”) govern your access to and use of NomNote’s mobile applications, websites, and related services (collectively, the “Services”). By using the Services, you agree to these Terms and our Privacy Policy.

1. Who We Are
NomNote is operated by a company organized under the laws of the State of Delaware, United States. NomNote provides a discovery and listing platform for venues, events, and related experiences. We may operate the Services through NomNote or affiliated entities.

2. Eligibility
You must be at least the age of digital consent in your jurisdiction (or 13 years old, whichever is higher) to use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business.

3. Accounts
You are responsible for your account credentials and all activity under your account. You agree to provide accurate information and keep it current. Notify us promptly of unauthorized access. To request deletion of your account or associated personal data, follow the process described in our Privacy Policy or contact us at support@nomnote.com.

4. License to Use the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use (unless you are using business features under a separate agreement). You may not copy, modify, distribute, sell, or lease any part of the Services without our permission.

5. User Content
You may submit content such as reviews, photos, or venue information (“User Content”). You retain ownership of your User Content. You grant NomNote a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, display, and distribute User Content in connection with operating, promoting, and improving the Services. You represent that you have all rights necessary to grant this license and that User Content does not violate third-party rights or laws. You and any business or organizer account you represent are solely responsible for the accuracy and legality of information you submit. NomNote may remove, disable, or restrict access to User Content or listings that we reasonably believe violate these Terms, infringe rights, or are inaccurate, misleading, or otherwise inappropriate.

6. Acceptable Use
You agree not to misuse the Services. Prohibited conduct includes: violating laws; harassment or hate speech; fraud or impersonation; distributing malware; scraping or automated access without permission; interfering with security or operations; infringing intellectual property; posting false or misleading information about venues or events; or attempting to circumvent technical limitations.

7. Venues, Events, and Third Parties
NomNote acts as an online platform connecting users with venues, events, and experiences operated by third parties. Listings are provided by users, venues, or organizers. NomNote does not own or operate third-party venues or events. We are not a party to transactions between you and venues or organizers except where we explicitly provide payment or ticketing services. Hours, prices, availability, and event details may change without notice.

8. Business Listings and Venue Claims
Business owners and authorized representatives may claim, verify, and manage venue or business profiles on the Services after completing our verification process and any eligibility requirements we specify. Until verified, listings may be user-generated or provisional. NomNote may deny, suspend, or revoke a claim or management rights if verification cannot be completed, if information is inaccurate, or if these Terms are violated.

9. Ticketing, Reservations, and Payments
Where the Services offer ticketing, reservations, or payments, additional terms may apply at checkout. Payments may be processed by third-party payment processors. Refunds and disputes are subject to the applicable organizer or venue policies, applicable law, and our stated refund rules where we process payments.

10. Subscriptions and Fees
If we offer paid subscriptions or fees for businesses or users, pricing and renewal terms will be presented before purchase. Unless stated otherwise, subscriptions renew until cancelled in accordance with platform rules (Apple App Store or Google Play) or account settings.

11. Intellectual Property
The Services, including software, branding, logos, and content provided by NomNote (excluding User Content), are owned by NomNote or licensors and protected by intellectual property laws. No rights are granted except as expressly stated.

12. Copyright Complaints
If you believe content on the Services infringes your copyright, contact us at support@nomnote.com with sufficient detail for us to evaluate your notice.

13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not guarantee the accuracy, completeness, reliability, or availability of any listings, venues, events, descriptions, prices, hours, or other information appearing on the Services. Such information may be supplied by users, venues, or third parties and may be incomplete, outdated, or incorrect.

14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOMNOTE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (USD $50), EXCEPT WHERE PROHIBITED BY LAW.

15. Indemnification
You will defend and indemnify NomNote and its affiliates against claims arising from your User Content, your use of the Services, or your violation of these Terms, to the extent permitted by law.

16. Governing Law and Disputes
These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms (including non-contractual disputes) are governed by the laws of the State of Delaware, United States, and applicable United States federal law, without regard to conflict-of-law rules that would cause the laws of another jurisdiction to apply.
Except where non-waivable mandatory consumer protection or other laws of your country or region of residence require otherwise, you agree that the state and federal courts located in Delaware, United States, shall have exclusive jurisdiction over any such dispute, and you consent to personal jurisdiction and venue in those courts. Nothing in these Terms limits any rights you may have under such mandatory laws.
If you access the Services from outside the United States, you are responsible for compliance with local laws where applicable.

17. Termination
We may suspend or terminate your account or access to the Services if you violate these Terms, misuse the Services, or create risk or legal exposure for us. You may stop using the Services at any time. Provisions that by nature should survive will survive termination.

18. Changes to Terms and Services
We may modify these Terms from time to time. We will post the updated Terms with a new effective date. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Services.
We may also modify, suspend, or discontinue any part of the Services or any features at any time, with or without notice, subject to applicable law and any express commitments we have made to you (for example, with respect to certain paid offerings where required).

19. Apple App Store
If you access the Services through an iOS app downloaded from the Apple App Store, you acknowledge that these Terms are between you and NomNote only, not Apple. Apple has no obligation to provide support for the app. Apple is not responsible for the app or its content. In the event of a conflict between these Terms and the App Store Terms of Service, the App Store Terms of Service apply to your use of the app as permitted by Apple. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the iOS app, and Apple may enforce these Terms.

20. Google Play
If you access the Services through an app from Google Play, you agree to comply with the Google Play Terms of Service. Google is not responsible for the Services or content provided by NomNote.
